Andrew Melsheimer concentrates his practice on international oil and gas-related transactions, strategic commercial and business advice on cross-border transactions and investment projects, and dispute resolution matters. His experience includes acquisitions, divestments, trades, and mergers; exploration, development, and production matters; and anti-corruption (FCPA) and economic trade sanctions. His dispute-related matters have been before federal and state courts in Louisiana, Texas, and New York as well as domestic and international arbitration panels.

Andrew also has in-house experience through his secondment to an international energy company, where his responsibilities included handling issues related to host-government contracts, joint operating agreements, and unitization agreements.


Commercial Matters

  • Represents publicly traded, private, and national oil and gas companies in their global acquisition, divestment, trade, and merger activities
  • Advises international oil and gas companies with issues related to their host-government contracts, joint operating agreements, unitization agreements, and other ancillary contracts such as service agreements, accounting procedures, confidentiality agreements, secondment agreements, lifting agreements, FPSO purchase and lease agreements, crude oil sales agreements, pipeline agreements, and gas supply agreements
  • Advises domestic and foreign companies on FCPA compliance and investigations
  • Advises domestic and foreign companies on compliance with U.S. economic and trade sanctions
  • Assists domestic and foreign companies with strategic planning for potential litigation and arbitrations of disputes, including contractual disputes and disputes under bilateral and multilateral investment treaties


  • ICC arbitration, defended challenge to an expert decision establishing ownership interests in a unitized oil and gas field offshore West Africa
  • ICC arbitration, defended force majeure claim under a cross-border gas supply agreement in South America
  • ICDR arbitration, prosecuting breach of a transportation agreement for pipeline capacity in South America
  • ICDR arbitration, defended contract claim related to the purchase of a refinery
  • ICDR arbitration, sought declaratory relief for the interpretation of a contractual right for payments under  a Colombian concession
  • ICDR arbitration, prosecuted a collection action for a Brazilian steel company in an international arbitration on outstanding debts arising out of activities in Colombia
  • Texas state and Delaware federal court, defended discovery requests from an international arbitration under Texas procedural rules and 28 USC 1782
  • Ohio federal court, prosecuted claims against a domestic sales representative of an international energy company
  • Texas state and federal court and New York federal court, defended enforcement of an arbitral award, claims for breach of contract, attachment, breach of fiduciary duty, and equitable relief
