Practice Description

Guillermo Uribe focuses his practice primarily on matters related to banking and securities law, national and international capital markets, other securities offerings, structured finance, syndicated loans, and matters related to the compliance and surveillance of the Mexican Securities Market. His experience includes the representation of national and foreign banks, brokerage firms, rating agencies, local governments, and monoliners in the negotiation, structure, and implementation of traditional and structured loans and securities placements, including the national and foreign securitization of several assets. In addition, he has served as counsel in M&A transactions of financial institutions and has wide experience in real estate transactions.

Mr. Uribe previously served as Director of Corporation Finance and Director of Market Surveillance of the National Banking and Securities Commission (CNBV). As Director of Market Surveillance, he participated in the development and modification of the regulations for the securities market and in the design of the Mexican Derivatives Market (MexDer). As Director of Corporation Finance, he was in charge of the authorization and registration of the Mexican securities and the corresponding IPO's (including Citigroup, Tenaris, Cablevisión, and Embotelladoras Arca, among others). In addition, Mr. Uribe participated in the drafting of the regulation for securities issuers and in the Securities Market Law.

Representations

• Assisted Estrategia Financiera, the financial advisor for the State of Baja California Sur, in a MX $1,000,000,000 structured loan as well as the implementation of the first local infrastructure fund constituted after the Mexican National Infrastructure Fund (Fonadin)

• Represented Casa de Bolsa Finamex in the registration of the two first programs of structured notes issued by a financial institution in Mexico for US$750 million

• Represented Nacional Financiera, S.N.C. in the reopening and registration of NAFTRAC Program related to the leading stock index in Mexico (BMV-IPC) for approximately US$40 billion

• Represented a German vehicles producer in the US$200 million financing for the construction of a new factory in Mexico

• Represented the agent in the securitization of local taxes of the State of Oaxaca, Mexico

• Represented Casa de Bolsa Banorte in the design and implementation of the biggest warrant programs in the history of Mexico

• Represented a large construction company in the implementation of a Medium Term Notes Program ruled by Regulation S and Rule 144/A and secured by a Service Agreement executed with PEMEX

• Represented Casa de Bolsa Banorte in the toll road securitization, secured by MBIA, of Monterrey-Cadereyta toll road; the transaction was named the 2004 Infrastructure Deal of the Year by Thompson Financial

• Represented a U.S. financial institution in the cross-border financing for the construction of a small luxury hotel in Acapulco

• Represented a U.S. financial institution in the US $50 million cross-border financing for the development of a time share resort in Los Cabos, Baja California Sur

• Represented a Mexican financial institution and the holding company in the establishment of a financing facility for a Mexican leasing company (leveraged lease financing) to purchase equipment and the corresponding guaranties over the leases and equipment

• Represented a U.S. financial institution in the first cross-border time share financing in MX Pesos located in Ixtapa, Zihuatanejo, Guerrrero

• Represented a U.S. financial institution in the design and implementation of a guaranty structure for loans granted to U.S. citizens for the acquisition of second homes in Mexico

• Represented a monoline company in a toll road securitization (Libramiento de Matehuala - Matehuala Highway)

• Represented a monoline company in the private placement of ABS related to commercial leases rights of Terminal 1 of the biggest airport in Mexico City

• Represented a Mexican investment bank in its international merger with a NYSE-listed company, which included an IPO and the acquisition of a Mexican brokerage firm

• Represented Aeropuertos Mexicanos del Pacífico in the Grupo Aeroportuario del Pacífico public placement process

• Represented Sociedad Hipotecaria Federal in the implementation of the guaranties programs and the BORHIS structure (MBS)

• Represented the buyer of an emblematic building in Mexico City (Torre Mexicana) in the financing facility

• Represented the government of the State of Mexico in the public debt restructure in the amount of approximately MXN $30 billion

• Represented a Mexican financial institution in the incorporation of a Canadian fund to invest in Mexican real estate projects
