Practice Description

Chris Schaeper assists domestic and international clients in pursuing their business and commercial opportunities and in solving their legal issues in the U.S. and throughout the world. This includes counseling his clients in mergers, acquisitions, and dispositions of private and public entities; venture capital and related investment transactions (institutional and private); and public and private placements of equity and debt securities. He also assists clients in public securities compliance and secured and unsecured financings at senior, subordinated, mezzanine, and angel levels. Mr. Schaeper helps clients with domestic and international joint ventures, licensing, and contract preparation and negotiation. He has completed more than 250 acquisitions and dispositions, 60 private investment transactions, 50 lending transactions, and 20 public securities offerings since 1984.

Representations

  • Represented a New Delhi-based conglomerate of steel companies in the $1 billion sale of three U.S. companies and related assets that owned and operated a steel plate mill, large diameter pipe mill, and double jointing mill in Baytown, Texas, to the U.S. affiliate of another global steel concern based in Mumbai, India

  • Represented a gas compression company in its $655 million sale to a public MLP for a combination of cash and MLP units

  • Represented a public E&P company in the $420 million sale of all of its Gulf of Mexico shelf assets, including a unique stock escrow involving shares of the buyer's Bermudian parent

  • Represented the U.S. interests of an international steel company in its $60 million in new-money secured financing from a major U.S. bank in December 2008 and related intercreditor relationships with foreign banks in related credit facilities

  • Advised a large North Texas municipality in regard to its proposed participation in a 24-year $465 million power purchase arrangement with an energy provider through an aggregator
