Practice Description

Shelly A. Youree provides advice and counseling to employers and fiduciaries in all areas of employee benefits, executive compensation, and stock and incentive programs. Her expertise encompasses tax and ERISA issues involved in program design, administration of qualified and nonqualified deferred compensation programs and welfare benefit plans, preparation and review of plan and related documentation, and assistance with plan implementation and obtaining governmental approvals. Ms. Youree also counsels clients on employee benefit and executive compensation issues in mergers and acquisitions.

Representations

  • Represented a publicly held corporation involved in a tender offer with issues related to a 401(k) plan, money purchase pension plan, stock option plan, and director fee deferral program; also assisted the client with executive compensation matters

  • Represented a publicly held corporation in the preparation and implementation of a new long term incentive plan featuring incentive and nonqualified stock options and other equity awards designed to be exempt from the deduction limits of Section 162(m) of the Internal Revenue Code

  • Represented a client in requesting and obtaining opinion letters from and filing appropriate plan termination and other notices with the Pension Benefit Guaranty Corporation

  • Represent clients in amending and restating tax-qualified retirement plans, and requesting and obtaining determination letters and letter rulings from the Internal Revenue Service regarding employee benefits

  • Represent clients in requesting and obtaining opinion letters and prohibited transaction exemptions from the Department of Labor regarding employee benefits
