Practice Description

Jeffrey A. Zlotky's practice includes the representation of public corporations and master limited partnerships, private corporations, limited liability companies, capital funding sources, financial institutions, and other qualified investors in connection with domestic and international transactions.

He has extensive experience in the structuring, organization, and capitalization of private equity funds on behalf of sponsors and investors. He also structures financing and investment transactions and mergers, acquisitions, and dispositions of securities and assets. Mr. Zlotky is adept at the formal organization of corporations, partnerships, joint ventures, and limited liability structures.

Representations

• Represented a private investor in connection with its acquisition of a controlling interest in a publicly traded company and the recapitalization of such company in a transaction valued at $1.2 billion

• Represented more than twenty institutional investors in a transaction involving the merger of various limited partnerships with, and the disposition of limited partnership interests to, a publicly traded company in a transaction valued at $200 million

• Represented an investment group in connection with its disposition of a professional baseball club and related assets in a transaction valued at $250 million

• Represented a publicly traded company in connection with multiple acquisitions of other publicly traded companies and private companies valued at $2 billion

• Represented a private company in connection with its merger into a master limited partnership valued at $2.2 billion
