Joe Sarcinella concentrates his practice on real estate, finance, and corporate matters. With nearly 30 years of business, and in-house experience, his expertise includes the real estate and finance aspects of large, highly structured M&A transactions including multi-level joint ventures with multiple partners, bridge lenders, and term lenders. He has negotiated hotel franchise and licensing agreements for lenders and franchisees for both existing hotels and hotel construction projects. He has also served as debt counsel on both the borrower and lender side of transactions including borrower side representation for the acquisition financing of the Albertson’s supermarket chain.

Joe has represented numerous lenders involving debt with multiple mortgage and mezzanine tranches for balance sheet and conduit loan programs. He has advised on buyer and seller side debt sales including co-lender and inter-creditor agreement negotiations. He is also experienced in loan workouts, restructurings, and foreclosures.


  • Served as lead closing attorney in the representation of Tishman Speyer in their acquisition of the publicly traded Archstone-Smith for $22.5 billion including $17.0 billion senior, senior mezzanine and junior mezzanine acquisition financing, as well as $5.5 billion in bridge equity and joint venture agreements.
  • Representation of Cerberus Capital Management with respect to the $17.5 billion acquisition of the publicly traded Albertson’s super market chain, senior and mezzanine financing involving over 2600 properties and the subsequent restructuring.
  • Representation of Southwestern Bell in a $1.3 billion sale of a national network of over 2200 cell phone towers to SpectraSite.
  • Representation of Harnischfeger Industries in obtaining a $1.2 billion loan facility from a lending consortium led by Citigroup.
  • Represented Credit Suisse in connection with $1.1 billion of hotel financings, $79 million El Ad Group broken condominium financing, and $2.5 billion Maguire California office portfolio financing.
  • Represented General Electric Capital Corp in a $540 million corporate facility transaction with Starwood Hotels.
  • Represented high net worth Saudi citizens in the structuring of Shariah compliant investment advisory agreements totaling $500 million with a major international investment advisor.
  • Represented Antares Real Estate Capital, a real estate private equity fund with respect to the $400 million acquisition of luxury residential complexes. The work included structuring a joint venture, senior debt, mezzanine debt, bridge equity, and preferred equity.
  • Advised CWCapital LLC with respect to a $345 million multi-hotel construction loan in New York including negotiation of franchise agreements relating to each hotel. Joseph also represented CWCapital in various other condominium and residential rental construction loans in the aggregate amount of $325 million.
  • Represented DESPA Deutsche Sparkassen-Immobilien-Anlage-Gesellschaft mbH in transactions totaling $260 million, including its acquisition of 2445 M Street, Westory and Adams Office Buildings, Washington, D.C., and San Francisco Office Buildings.
  • Represented CIBC with respect to the $212 million structuring and construction financing of the St. Regis Hotel at Deer Valley.
  • Advised The Sapir Organization in connection with a $450 million credit tenant lease bond financing of 2 Broadway, New York, $205 million financing of 260 and 261 Madison Avenue, New York, and $130 million financing of 100 Church Street, New York.
  • Handled the acquisition and financing transactions, totaling $158 million, of all outstanding stock of an aerospace parts manufacturer by a Canadian aerospace company.
  • Representation of Goldman Sachs in the $145 million financing of a Dubai World subsidiary with respect to the W Hotel in Washington D.C.
  • Advised Walnut Street Capital LLC regarding the $92 million and $45 million acquisitions and financing of the Curtis Publishing Building and the Public Ledger Building, respectively, in joint ventures with a major money center bank. Joseph also represented Walnut Street Capital LLC in the acquisition of a full square block development site in Philadelphia from Verizon and the negotiation of a joint venture agreement with a major pension fund to finance a two-million square foot mixed use tower.
  • Representation of Perella Weinberg Partners in a $86 million joint venture with a local developer for a mixed use project in New York.
  • Representation of United Overseas Bank, a Singaporean bank, in the $64 million financing of an office building in Washington, D.C.
  • Represented a foreign quasi-mezzanine lender in $42 million acquisition of entity interests and subsequent restructuring while foreclosure proceedings were pending with respect to a development property in Manhattan.
