Sam Haas' practice consists of counseling clients in the areas of acquisitions and dispositions of properties; acquisitions and dispositions of natural resource companies; representation of both borrower and lender sides in conventional financings; and representation of both investor and operator sides in equity transactions and unconventional financings.

He regularly advises clients regarding exploration and production activities, including preparation of various agreements and marketing of production. He has acted as both an arbitrator and a mediator in oil and gas disputes.

  • Served on an arbitration panel in a dispute arising out of a purchase and sale agreement covering oil and gas properties, 2005

  • Represented a client in the sale of oil and gas properties by an independent producer for approximately $140 million, 2002

  • Advised a client in the sale of oil and gas properties by an independent producer for approximately $120 million, 2001

  • Represented a client in the sale of oil and gas properties by an independent producer for approximately $55 million, 2000

  • Represented a client in the purchase of oil and gas properties by an independent producer and an institutional investor for approximately $50 million, 1998

  • Served as a mediator in a dispute over ownership and operation of oil and gas properties, 2004

  • Participated as a member of an arbitration panel in a gas gathering and transportation partnership dispute, 2002-2003

  • Sale of all of the oil and gas properties of a division of a NYSE company, in four separate transactions, for approximately $175 million, 1997
  • Sale of oil and gas assets of an independent producer and several institutional investors for approximately $115 million, 1996, and the acquisition of such properties in multiple transactions over several years
  • Advised bank group holding in excess of $200 million in debt on collateral issues in bankruptcy of NYSE oil and gas producer, 1999

  • Represented a client in the sale of oil and gas properties by an independent producer for an undisclosed price, 2005
