Attorneys in Thompson & Knight’s Corporate and Securities Practice Group serve as outside general counsel and as advisors on day-to-day operational matters for a diverse range of public and private corporations, partnerships, limited liability companies, and other business entities.  We provide similar counsel to insurance companies, financial institutions, investment advisors, and investment banking firms.

Our attorneys advise on public and private offerings of equity and debt securities, domestic and cross-border mergers and acquisitions, joint venture creations, leveraged buyouts, corporate restructurings, and a full range of other business transactions. We represent issuers and underwriters, analyzing, structuring, negotiating, and managing the diverse issues that arise in corporate financing transactions, handling all federal and state securities law matters, including periodic reporting and compliance matters. We have also developed expertise in corporate governance issues and Sarbanes-Oxley compliance, including representation of audit and special committees with respect to internal investigations and related party transactions.
