  • Represented Reliance Holding USA, Inc. in its divestiture of its Eagle Ford Shale Midstream business for $2.15 billion
  • Represented The Michaels Companies, Inc. (NASDAQ:MIK) in its $150 million acquisition of Lamrite West, Inc., an international wholesale and retail supplier of arts and crafts products
  • Represented purchaser in multiple acquisitions of saltwater disposal wells and pipelines in the Permian Basin
  • Represented numerous sellers and purchasers in acquisitions and divestitures for an amount in excess of $600 million

Private Equity and Venture Capital

  • Represented a sponsor in connection with the sale of $300 million in limited partnership interests in two new funds, structured as parallel resource funds (working interest / NPI funds), formed for the primary purpose of acquiring interests in onshore producing oil and gas properties in the continental United States and engaging in the development and further exploration of, production and sale of oil and gas from, and disposition of those properties
  • Represented multiple management teams in the formation of joint ventures with companies in the oil and gas industry, with more than $1 billion in committed capital to fund acquisition and development activities
  • Represented a management team in the reorganization of its nutritional supplements business with a national healthy living private equity firm
  • Represented a privately held oil and gas company in the formation of three new investment funds, structured as limited liability companies, for the purpose of owning and developing royalty and mineral interests in the continental United States
