Doug Pedigo focuses his practice on energy and transactional matters; natural gas, LNG, natural gas liquids (NGL), natural gas facilities and mid-stream and downstream infrastructure; NGL transloading; electric power generation; wind power, biofuels, geothermal, and other alternative energy sources, including utility-scale and distributed solar generation; natural gas and electric power marketing and trading; property assessed clean energy (PACE); risk management transactions; power plant, midstream, and downstream facility construction and operations; EPC contracts; oil and gas drilling; production, processing, marketing, transportation, and end-use of oil and natural gas; litigation and dispute resolution; domestic and global development of large infrastructure projects.

Prior to and since joining the Firm, he served in executive business and legal positions for several large energy companies, most recently serving as Senior Vice President and President, South Central Region, for NRG Energy, Inc., a Fortune 500 independent power generation company, where he oversaw a region comprised of 4,400 MW of coal- and natural gas-fired electric generating facilities and 350 employees. Doug also served as Senior Vice President for Product Development for Integrated Solutions for NRG, where he worked on developing new energy products and integrating them into to salable solutions for customers.

  • Recently represented a midstream client in negotiation of a joint venture for development, construction, and operation of a significant oil and natural gas gathering and processing system in Oklahoma, including long-term oil and gas gathering and processing agreements and development, construction, and operations agreements

  • Recently represented a midstream client in negotiation of significant natural gas processing agreements, including an aid-in-construction agreement

  • Recently represented major midstream client in an execution of joint venture for development of a natural gas fractionation unit, including negotiation of a fabrication/EPC contract, refining agreement, and a natural gas liquids terminaling and storage agreement

  • Recently represented a major chemical manufacturer in a sale of a product pipeline as part of a sale of a chemical plant in Louisiana, including consents to assign pipeline rights-of-way, regulatory issues and negotiation of a surviving throughput agreement

  • Recently served as special Texas counsel for a major wind developer and financial institution in closing $225 million and $265 million tax equity investments, respectively, in 204 MW and 300 MW wind power projects in Texas, oversaw teams providing expertise in energy transactions, tax, environmental, governmental and regulatory issues and real estate
  • Recently represented a large Asian-based company in a joint venture for development of an natural gas liquids (NGL) export project, detailed evaluation of the regulatory environment; intrastate and interstate pipeline ownership and operations; storage facilities; product purchase and sale agreements; domestic and international transportation issues.
  • Recently represented a start-up business in development of a distributed LNG liquefaction facility, including negotiation of a master sales purchase and sale agreement for equipment for up to 5 projects, and an EPC contract for the first project.

  • Recently advised a large Asian-based, country-sponsored oil and gas company with respect to potential participation in a U.S.-based LNG export facility, including a detailed evaluation of the regulatory environment, including DOE and FERC issues; a long-term LNG purchase and sale agreement

  • Recently advised a large Asian-based corporation with U.S. operations with respect to establishing a natural gas and NGL trading business in the U.S., and export issues

  • Recently advised a major North American independent power company with a diverse portfolio of generation sources in structuring significant long-term power sales agreements, acquisition and disposition of generating facilities, operations and maintenance of large power generation facilities, and resolution of large-scale contractual disputes

  • Represented a major North American wind power developer with respect to a long-term wind power purchase and sale agreement to a utility customer in the State of Texas

  • Represented a major North American wind power developer with respect to financial hedges for power sold into the Texas balancing market and negotiated several ISDA agreements with financial institutions for the financial products

  • Represented a client in completion of four major wind power purchase and sale agreements (PPAs) for energy and renewable energy credits for a major retail energy provider client

  • Represented a major independent oil and gas exploration company on a complex natural gas sales and transportation arrangement involving construction of two significant new natural gas pipelines moving up to 350 million cubic feet of gas per day

  • Represented a major international shipping company on a multi-year agreement for a floating production, storage, and off-loading vessel (FPSO) in the Gulf of Mexico

  • Represented a major oil company on a $200 million complex international transaction for manufacture and shipping of components for development of a major international producing oil field, including engineering, procurement, and construction agreements (EPC), complex installation agreements, and bareboat charters

  • Represented a client in a $150 million purchase of four semi-submersible drill tender vessels, involving complex international tax and corporate formation issues

  • Counseled on the development of a 120 MCF/day natural gas processing facility in the Cawthorne Channel, Bonny River, Nigeria
  • Counseled on the development of physical and financial energy commodity trading and hedging strategies for several utility and petrochemical firms
  • Represented clients in the acquisition of Mountainview Power Company, LLC by Sequoia Generating, LLC, an affiliate of InterGen North America, Inc.

  • Counseled on the construction bridge loan for 215 MW Wildflower Energy project, structured and underwritten by Deutsche Bank, Fortis Capital Corp., Nord LB and Citibank

  • Counseled on underlying agreements for the senior secured credit facilities for 900 MW Magnolia Energy facility, arranged by ABN AMRO Bank NV and Credit Lyonnais, New York Branch, the senior secured credit facilities for 1200 MW Redbud Energy facility, arranged by Dresdner Kleinwort Wasserstein Securities, LLC and Salomon Smith Barney, Inc., and the senior secured credit facilities for 1200 MW Cottonwood Energy facility, arranged by Deutsche Bank and BNP Pariba

  • Contract-based interim financing by 1300 MW peaking power plants in Mississippi and Tennessee, underwritten by Westdeutsche Landesbank, December 1998

Dispute Resolution

  • Served as an arbitrator, including as chairman of a three member panel, domestically and internationally, in various disputes involving, among other things, fraud, operations, and interpretation of drilling contracts

  • Served as counsel representing a client as claimant in a London-based international arbitration at the LCIA against an international consortium, including an African nation, and obtained a multi-million dollar settlement in favor of the client (amount in dispute: $25 million)

  • Served as counsel representing a client as claimant in an arbitration matter concerning purchase and sale of a 600 MW electric power generating facility (amount in dispute: $40 million)
