Jessica Morrison focuses her practice on employee benefits, executive compensation, and taxation. She counsels employers and fiduciaries on tax and ERISA issues relating to welfare benefit plans, qualified retirement plans, equity incentive plans, nonqualified deferred compensation programs, and other executive compensation arrangements. She has expertise regarding Section 409A deferred compensation rules and Section 280G golden parachute rules. Jessica also advises clients on compliance with the Affordable Care Act, COBRA, and HIPAA. She counsels clients on ERISA fiduciary matters and represents clients before the IRS, DOL, and PBGC. Jessica also represents taxpayers in IRS audits, appeals, and federal income tax litigation.


  • Draft and advise employers and fiduciaries regarding 401(k) plans, 403(b) plans, and defined benefit pension plans
  • Represent employers in correcting qualified retirement plan failures in accordance with IRS and DOL correction programs
  • Manage defined benefit plan terminations with the PBGC
  • Draft health and welfare benefit wrap plans and cafeteria plans and advise employers on issues arising under ERISA, COBRA, HIPAA, and the Affordable Care Act
  • Conduct in-house trainings regarding HIPAA compliance and fiduciary best practices
  • Prepare and advise on the implementation of long-term incentive, stock option, restricted stock, and other equity incentive plans
  • Draft employment agreements, consulting agreements, and severance arrangements
  • Represent employers with respect to nonqualified deferred compensation plans, including advising on compliance with Section 409A
  • Negotiate employee benefit representations and covenants in credit agreements and purchase agreements
  • Compute and provide advice on Section 280G golden parachute compensation payouts in connection with merger and acquisition transactions
  • Provide advice regarding the “plan asset” status of private equity funds and real estate investment funds
  • Advise employers regarding worker classification issues and the proper withholding and reporting of wages
  • Represent taxpayers in tax disputes
  • Provide advice regarding FOIA requests to the IRS
