John Cohn assists multinational corporations, national oil companies, small businesses, and individuals in developing and implementing tax-efficient international business structures. He advises and counsels U.S. entities on expanding business internationally, guides foreign companies and persons on doing business in the United States, and negotiates international energy acquisitions and dispositions. John is highly regarded for his ability to identify and present in an accessible manner the significant aspects of a complex situation, providing his clients with practical solutions to complicated tax and structuring issues. John's expertise also includes tax and transactional counsel on Latin American, African, and Asian energy projects. In addition to his practice, John serves as the Firm’s Tax Practice Group Leader.

  • Counseling and tax planning for foreign oil and gas company's acquisition of a U.S. refinery
  • Counseling, structuring, and tax planning global oil and gas acquisitions and operations
  • Structuring of cross-border tax aspects of Canadian income trusts
  • Advising private equity clients regarding tax and structuring issues for cross-border investments by investors and by the fund
  • Advising foreign oil and gas companies on U.S. oil and gas joint ventures
  • Negotiating acquisition of offshore Nigerian exploration and production interest and related joint operating agreement
  • Reorganizing a multinational drilling corporation, involving the creation of a publicly held foreign parent and related international tax planning
  • Negotiating multiple transactions involving West African oil and gas interests
