Luis F. Gomar is a Partner in the International Energy Practice Group, serves as the Mexico City Office Leader, and also practices in the Firm’s Houston office.  He has significant experience in cross-border energy transactions throughout Latin America. He regularly advises clients on the numerous aspects of domestic and international business transactions, including mergers and acquisitions, divestitures, joint venture and strategic alliances, financing, capital raising, and fund formation. Luis provides general legal advice to oil, gas, and energy companies, including company structure planning, formation, specialized and run-the-company contracts, joint operating agreements, host government contracts, unitization agreements, and international taxation planning.  He also advises funds, management companies, and private issuers pursuing a variety of fundraising and investment strategies.

Mergers, Acquisitions, and Divestitures

  • Represented Mexican family office with various oil and gas investments in the United States
  • Represented large paper packaging manufacturer and distributor with sale of all assets, including Mexican manufacturing facilities (maquiladoras) to producer of containerboard and corrugated packaging for $615 million
  • Represented Canadian publicly traded healthcare company with the acquisition of interests in a toxicology laboratory in San Antonio, Texas for an undisclosed amount
  • Represented oilfield services company in the sale of its assets to international oil & gas and power generation services provided for an undisclosed amount
  • Represented publicly traded oil and gas company in the acquisition of Louisiana drilling fluids company for approx. $52 million, including negotiation of senior secured and mezzanine debt as well as Reg. D offering of preferred stock
  • Represented a privately held client with the sale of oil and gas leases, wells, and pipeline in Rocky Mountains for approx. $90 million
