Two oil and gas companies sponsored by energy-focused private equity shop ArcLight Capital Partners LLC are set to merge in a unit-for-unit deal that will create a midstream energy company with a value of about $2 billion, the companies said on Monday.

Bank of America Merrill Lynch was American Midstream’s financial adviser on the matter, with Simmons & Co. International and Energy Specialists of Piper Jaffray advising its conflicts committee. Locke Lord LLP was its legal counsel and Thompson & Knight LLP represented the conflicts committee.
