T&K in The Deal on American Midstream Merger

“American Midstream will have better growth opportunities after JP Energy deal”

American Midstream Partners, LP (AMID) and JP Energy Partners LP (JPEP) on Monday, Oct. 24, agreed to merge in all stock deal worth about $302 million, the parties said in a joint statement.

Locke Lord LLP’s Bill Swanstrom, Gregory Hill, Ben Smolij, David Taylor, Mitch Tiras, Jeff Wallace and Van Jolas provided legal counsel to American Midstream, while Thompson & Knight LLP’s Alan Baden, Jeremiah Mayfield and Todd Lowther were legal counsel to the company’s conflicts committee. American Midstream’s general counsel Regina Gregory assisted on the transaction.
