T&K Names New Partners

Dallas – Thompson & Knight LLP is pleased to announce Jesse E. Betts, Rick Haan, Todd Lowther, Sam L. Merrill, and Joseph A. Sarcinella have been elected Partner.

The five lawyers newly elected to partnership in the Firm are:

Jesse E. Betts, Corporate and Securities, Dallas:
Jesse represents public and private companies, management teams, private equity funds, and high net worth individuals. His experience includes advising clients in a variety of industries with respect to mergers, acquisitions and divestitures, joint ventures, internal restructurings, compliance with securities law, securities offerings, venture capital investments, and other general corporate governance matters. He has been selected for inclusion in Texas Rising Stars® by Thomson Reuters (2012-2014).

Rick Haan, Real Estate and Banking, Dallas: 
Rick’s practice focuses on the representation of mortgage lending clients in interim, permanent, and construction financings secured by or involving real estate, including retail, office, and multifamily projects. His experience also includes representing lenders in foreclosure proceedings and loan servicing, including modifications, assumptions and sales of bank-owned property. Rick represents various developers in connection with the acquisition and development of real estate projects. In connection with such development work, Rick prepares and negotiates purchase and sale agreements, leases, easements, restrictive covenants, and numerous other documents on behalf of such companies. He has been selected for inclusion in Texas Rising Stars® by Thomson Reuters (2010-2014) and earned the top score on the Texas Bar Exam in 2006.

Todd Lowther, Tax, Houston:
Todd provides tax advice to clients on M&A, private equity transactions, and corporate and general business matters, including business formation, reorganization, and partnership and limited liability company structuring. His experience includes a focus on the taxation of natural resources, partnerships, international joint ventures, and other transactions common in the petroleum industry. Todd also advises and represents clients in adversarial matters with federal, international, state, and local taxing authorities, as well as in alternative dispute resolution procedures. In addition, his experience includes tax cases in U.S. Tax Court and U.S. District Court involving taxpayers with previously unaddressed income characterization issues. He has been selected for inclusion in Texas Rising Stars® by Thomson Reuters (2012, 2014).

Sam L. Merrill, Tax, Dallas:
Sam represents clients in domestic and international tax matters, including business formation; mergers, acquisitions and dispositions; and general tax planning. His practice focuses on oil and gas financing and joint venture transactions, partnership taxation, and private equity fund formation and operations. He has been selected for inclusion in Texas Rising Stars® by Thomson Reuters (2010-2012).

Joseph A. Sarcinella, Real Estate and Banking, New York:  
Joe concentrates his practice on real estate, finance, and corporate matters. With nearly 30 years of business and in-house experience, his expertise includes the real estate and finance aspects of large, highly structured M&A transactions including multi-level joint ventures with multiple partners, bridge lenders, and term lenders. He has negotiated hotel franchise and licensing agreements for lenders and franchisees for both existing hotels and hotel construction projects. He has also served as debt counsel on both the borrower and lender side of transactions including borrower side representation for the acquisition financing of a publicly-held supermarket chain. Joe has represented numerous lenders involving debt with multiple mortgage and mezzanine tranches for balance sheet and conduit loan programs. He has advised on buyer and seller side debt sales including co-lender and inter-creditor agreement negotiations. He is also experienced in loan workouts, restructurings, and foreclosures.
