Dallas – Thompson & Knight LLP is pleased to announce Kathleen E. Gerber has joined the Firm’s Houston office as an Associate in the Tax Practice Group.

Gerber focuses her practice on corporate, partnership, and cross-border tax matters. She has significant expertise regarding the tax aspects of both taxable and tax-free mergers and acquisitions, partnership allocations, S corporations, publicly traded partnerships, financial instruments, debt restructurings, the foreign tax credit, income tax treaties, and FBAR compliance. She has extensive experience negotiating and drafting tax provisions in a variety of transactional documents, and has experience with private equity fund formation and investment vehicles with a “social enterprise” or “impact investment” focus. Also, she advises nonprofit clients on formation and corporate governance matters, applying for and maintaining tax-exemption, minimizing unrelated business taxable income, avoiding excess benefit transactions, supporting organizations, domestic and international grant-making, program-related investments, fiscal sponsorship arrangements, structuring joint-ventures with for-profit entities, and the federal tax rules governing private foundations.
Gerber has published multiple articles in legal journals on tax law topics. She received an LL.M. in Taxation from New York University School of Law in 2011, a J.D., magna cum laude, from Temple University Beasley School of Law in 2009, and a B.A., summa cum laude, in English from Temple University College of Liberal Arts in 2004. Gerber is admitted to practice in California and New York, and her Texas admission is expected in fall 2015.
Prior to joining Thompson & Knight, Gerber was a Tax Associate at Coblentz, Patch, Duffy & Bass LLP in San Francisco.
