Bob Shearer represents U.S. and foreign lenders and borrowers in lending transactions with a focus on syndicated secured oil and gas production and midstream energy financing. In addition, his practice includes leveraged buyout and structured financings, derivative transactions and loan workouts, as well as representing indenture trustees in secured and unsecured senior note offerings.

  • Represented the agent bank and arranger in a $1.3 billion syndicated credit facility for a publicly traded midstream company
  • Represented the agent bank and arranger in a $615 million syndicated credit facility for a multi-state natural gas pipeline company
  • Represented the agent bank in a $650 million syndicated credit facility for a publicly traded petroleum product, crude gathering, and terminal operating company with operations in the western United States
  • Represented the agent bank in workout and restructuring of over $400 million of debt owed to three separate lending syndicates financing an integrated energy company with significant Marcellus Shale assets
  • Represented a leading Houston-based energy company in $250 million production payment financing involving Texas and Louisiana oil and gas properties
  • Represented the borrower in a $20 million credit facility secured by pipelines and processing facilities located in the Permian Basin
  • Represented the indenture trustee in a $100 million senior unsecured note offering by a Canadian mining company
  • Represented the lead bank in an innovative $400 million multi-state pipeline acquisition financing
  • Represented an oil and gas service company borrower in a $54 million syndicated secured financing
