Courtney Jamison Roane represents clients in a wide range of corporate and securities matters. She advises and counsels public and private companies, management teams, and private equity funds. Courtney’s experience includes advising clients in a variety of industries with respect to mergers and acquisitions, joint ventures, internal restructurings, compliance with securities law, securities offerings, and other general corporate governance matters.

  • Represented Yates Petroleum Corporation in its $2.4 billion merger with EOG Resources, Inc.
  • Represented Silver Hill Energy Partners in its $2.4 billion sale to RSP Permian Inc., which set “a new high-water mark” for Delaware Basin transactions
  • Represented Reliance Holding USA, Inc. in its divestiture of its Eagle Ford Shale Midstream business for $2.15 billion
  • Represented Ajax Resources LLC in the sale of its northern Midland Basin assets to Diamondback Energy Inc. for $1.25 billion, consisting of $900 million in cash and 2.58 million shares of Diamondback common stock
  • Represented Brazos Midstream Holdings, LLC in the sale, along with Old Ironsides Energy, of Brazos’ Delaware Basin subsidiaries to a subsidiary of North Haven Infrastructure Partners II for $1.75 billion
  • Represented The Michaels Companies, Inc. (NASDAQ:MIK) in its $150 million acquisition of Lamrite West, Inc., an international wholesale and retail supplier of arts and crafts products
  • Represented an oil and gas services technology firm in its divestiture to a technology-based investment firm for approximately $72 million
  • Represented a management team in the sale and reorganization of its nutritional supplements business with a national healthy living private equity firm
  • Represented physician practice in the sale of certain of its physician groups to a national healthcare provider
  • Represented numerous sellers and purchasers in acquisitions and divestitures for an amount in excess of $600 million
  • Represented a sponsor in connection with the sale of $300 million in limited partnership interests in two new funds, structured as parallel resource funds (working interest / NPI funds), formed for the primary purpose of acquiring interests in onshore producing oil and gas properties in the continental United States and engaging in the development and further exploration of, production and sale of oil and gas from, and disposition of those properties
  • Represented multiple management teams and private equity sponsors in the formation of joint ventures with companies in the oil and gas industry, with more than $2 billion in committed capital to fund a variety of oil and gas projects
  • Represented multiple private equity funds (and their affiliates and portfolio companies) in the formation of strategic joint ventures with more than $1 billion in committed capital
  • Represented an international chemical company in the formation of a U.S.-based strategic joint venture
  • Represented issuer in 144A offering of high-yield debt securities ($450 million)
  • Represented issuer in exchange offering of high-yield debt securities ($450 million)
  • Represented issuer in 144A offering of high-yield debt securities ($325 million)
  • Represented issuer in 144A offering of high-yield debt securities ($300 million)
  • Represented conflicts committee of publicly traded master limited partnership in multiple affiliated transactions with its general partner
  • Represented issuer in offering of depositary shares representing convertible perpetual preferred stock ($161 million)
  • Continued representation of various public issuers with respect to periodic reporting, corporate governance, and general corporate matters
