Jesse Betts represents clients in a wide range of corporate and securities matters. He advises and counsels private equity funds, portfolio companies, public and private companies, management teams, and high net worth individuals. His experience includes advising clients in a variety of industries with respect to private equity investments, mergers, acquisitions and divestitures, joint ventures, internal restructurings, compliance with securities law, securities offerings, venture capital investments, and other general corporate governance matters.

Significant M&A Transactions

  • Represented a private midstream company in its sale for $1 billion
  • Represented purchaser in its acquisition of a distribution company for an amount in excess of $400 million
  • Represented purchaser in its acquisition of an oil and gas exploration company for $300 million
  • Represented purchaser in a series of acquisitions of salt water disposal well businesses and its subsequent disposition of such businesses for an amount in excess of $300 million
  • Represented a public oil and gas exploration and production company in its sale out of bankruptcy for an amount in excess of $47 million
  • Represented purchaser in its acquisition of oil and gas properties in exchange for securities valued in excess of $34 million
  • Represented purchaser in its acquisition of a national restaurant group
  • Represented seller in its disposition of a destination management company

Private Equity and Venture Capital

  • Represented a management group in connection with the formation of a limited liability company and raising private equity capital of $1 billion
  • Represented private equity fund in its distribution of securities valued in excess of $255 million
  • Ongoing representation of private equity funds regarding distributions, beneficial ownership requirements, and compliance with securities law
  • Represented investors in various technology start-up venture capital investments

Public Company

  • Ongoing representation of various publicly traded companies with respect to registration of securities, periodic reporting, compliance with stock exchange listing requirements, stockholder proposals, corporate governance, and other general corporate matters
