Experience

Martha Harris represents interim and permanent lenders in connection with financings secured by or involving real estate, including retail, office, and multifamily projects, with an emphasis on senior housing projects and medical office buildings (on and off hospital campuses). She also regularly represents lenders in loan workouts, foreclosures, and creditors’ rights actions.

She counsels clients with respect to real estate projects, including the preparation and negotiation of purchase and sale agreements, listing agreements, management agreements, leases and loan documents. In addition, she performs due diligence involving title reports, ground leases, surveys, zoning, and other matters affecting real estate.

Martha is “extremely customer-centric, solution-driven, and effective at bringing good compromises to the table,” according to clients quoted by Chambers USA 2016.

Representative Matters

  • Represented senior housing lenders in more than $2 billion of multistate financings-both project and facility financing
  • Represented a lender in connection with a loan workout matter from forbearance to receivership to bankruptcy to foreclosure
  • Represented a lender in connection with a loan providing working capital for the pumping of methane gas from a landfill
  • Represented a lender in connection with a portfolio of mezzanine loans secured by various ownership interests related to skilled nursing facilities
  • Represented a publicly traded company in the sale of its existing headquarters and purchase of its new headquarters
  • Represented a lender in creating a loan seller/servicer program
  • Represented a conduit loan originator in the creation, warehousing, and selling of loans
  • Represented an institutional lender in a $200 million loan facility on medical office buildings located in eight U.S. states
  • Represent a life insurance company on all loans in Texas
