Minator Azemi focuses his practice on corporate and securities matters. Minator’s experience includes mergers and acquisitions, internal restructurings, securities law compliance, compliance with the Hart Scott Rodino Act, and other general corporate governance matters.

Representative Matters

Mergers, Acquisitions, and Divestitures

  • Represented Tailwater Capital in the sale of Petro Waste Environmental to Waste Management
  • Represented STEP Energy Services Ltd. (TSE: STEP) in its acquisition of Tucker Energy Services Holdings, Inc.
  • Represented Yates Petroleum Corporation in its $2.4 billion merger with EOG Resources, Inc.
  • Represented The Michaels Companies, Inc. (NASDAQ:MIK) in its $150 million acquisition of Lamrite West, Inc., an international wholesale and retail supplier of arts and crafts products
  • Represented a private midstream company in the sale of assets in the Marcellus Shale
  • Represented a privately owned chain of party supply stores in the sale of substantially all of its assets to a public company purchaser
  • Represented a purchaser in its acquisition of an electrical supply company

Private Equity and Venture Capital

  • Represented a sponsor in connection with the sale of $360 million in limited partnership interests in two new funds, structured as parallel resource funds (working interest / NPI funds), formed for the primary purpose of acquiring interests in onshore producing oil and gas properties in the continental United States and engaging in the development and further exploration of, production and sale of oil and gas from, and disposition of those properties
  • Represented a sponsor in formation of a private equity investment fund with limited partner commitments of $109 million
  • Represented a sponsor in formation of real estate private equity investment fund with limited partner commitments of $10 million
  • Represented a foreign state-owned oil company in its minority preferred stock investment in an oilfield technology company
  • Represented a private pharmaceutical start-up in two rounds of equity financing ($4.5 million)


  • Represented an issuer in exchange offering of high-yield debt securities ($350 million)
  • Continued representation of various public issuers with respect to periodic reporting, corporate governance, and general corporate matters

Regulatory Experience

  • Regularly advise clients on anti-trust compliance with the Hart-Scott-Rodino Act, including the preparation and filing of HSR Premerger Notification Forms
