Peter Sloan is a highly experienced senior international upstream attorney and recognized figure within the London oil and gas legal world. He has extensive experience conducting negotiations at the most senior level with co-venturers, financial institutions, governments, and NOCs. Peter has had significant experience serving as in-house counsel at various multinational oil and gas companies, and in these roles he managed numerous acquisitions; financings; and major governmental and joint venture agreements, including governmental concessions/PSAs, operating agreements, A+D and farmout agreements, bank facilities, and oil and gas services contracts. He has been involved with oil and gas projects in the African region for more than 15 years, making him uniquely qualified to handle the complex issues that arise with global energy projects.

Peter has advised on a range of energy transactions, including:

  • Reviewing and advising on crude oil sales agreements for new Brazilian field development
  • Drafting farmout, JOA, and ancillary agreements relating to unconventional asset acquisition in South America
  • Advising client on potential JOA dispute with operator relating to extension of PSC term in Algeria and the related potential government arbitration under PSC stabilization provisions
  • Advising on Algerian client’s service contract tender process and comments received from bidders on proposed goods and services Terms + Conditions
  • Review of gas sales agreement on cross-border international pipeline project
  • Advising on large volume commodity export purchase for petrochemical project, including due diligence on bidders, review of term sheet, and drafting fully termed ethane purchase agreement
  • Advising U.S. client on UK regulations derived from EU directive on obligations to disclose payments to governments
  • Reviewing suite of agreements relating to a farm-in to near field development blocks in Nigeria, including joint venture loan agreements
  • Advising on default provisions of Angolan JOA
  • Advising UK client on sale of African exploration affiliate, drafting share sale and purchase agreement, and overriding royalty agreement
  • Advising dual based U.S./UK  client on standard terms for a software access and subscription agreement
  • Advising on contractual dispute relating to the farminee’s payment obligations under a farmout agreement
