Sam Burford’s practice includes counseling companies in the following industries: manufacturing, pharmaceutical, electronic, and aerospace. He advises clients in connection with business and business-related issues, contract negotiations, securities laws and compliances, executive employment matters, litigation matters, and corporate restructuring and takeover-related matters.

His experience includes advising boards of directors, special director committees, and corporate officers with respect to fiduciary responsibilities and other matters. Sam is also adept at business planning, acquisitions, and dispositions.

  • Counseled and represented a public technology company in cash tender offer and follow-on stock merger of another technology company
  • Counseled and provided general corporate advice to trustees of investment company and related SEC investigation
  • Represented a Special Committee of Board of Directors of a public company in the acquisition of two related public companies in interested party transactions
  • Represented a Special Business Practices Committee of Board of Directors of a public company in connection with investigation of interested party transactions
  • Consulted and assisted technology company in general corporate matters and assisted in defense of securities class action litigation
