Regina Legorreta Palomino focuses her practice on energy and infrastructure matters, specializing in structuring all types of energy and natural resources infrastructure projects in Mexico and assisting transnational companies in the energy (conventional and renewable), gas, pipeline, transmission, and water sectors.  She has extensive experience regarding the energy reform; power auctions; and the drafting, negotiation, and administration of PPA (under Power Supply and Self-Supply schemes), EPC, O&M, and OPF agreements. Additionally, her experience includes project financing and due diligence for energy and infrastructure projects, including those grandfathered from previous legislations and matters related to corporate, agrarian, tax, regulatory, and contractual law.

Regina has also been involved in real estate and corporate matters, including transactions regarding the incorporation of companies with foreign investment, special purpose entities, and representation of foreign corporations in Mexico; transformation and dissolution of corporations; and drafting and negotiation of a variety of commercial agreements, ranging from the structuring of trusts and other financing schemes to stakeholder relationships.


  • Represented several companies in the First and Second Long-Term Power Auctions called for by the National Center of Power Control
  • Represented a global Spanish power company in the development of several projects in Mexico, including wind farms, combined-cycle, photovoltaic, power importation, and power purchase as well as in regulatory issues of the 2013 Energy Reform and Long-Term Power Auctions
  • Represented a Singaporean–Mexican consortium in the finance, award, and bid participation before several calls to bid regarding desalinization and water treatment plants in Mexico
  • Represented a global Spanish wind company in the instrumentation, drafting, negotiation, and closing of commercial agreements, including the execution of due diligence, as needed for the acquisition of wind farms in Mexico of more than 500 MW
  • Represented a global Spanish power company in the bidding process called for by the Mexican Federal Electricity Commission for the construction of a 600-kilometer pipeline
  • Represented a Spanish solar company in the execution of due diligence for several solar projects in Mexico and the closing of co-development agreements as needed to participate in the Second Long-Term Power Auction
  • Represented an Argentinean consortium in the legal strategy to obtain the award of a Public-Private Partnership for a water treatment facility to supply one of Mexico’s mayor refineries
  • Represented a Chinese global company in the drafting of an Oil Rig Lease Agreement
  • Represented a Mexican bank in the execution of due diligence for the biggest wind farm in Latin America developed by an Australian investment fund
  • Represented a Mexican consortium in the legal strategy and instrumentation of a Public-Private Partnership for the construction of a 100 MW waste-to-energy facility in the State of Hidalgo
