Roxana Burciaga is a transactional attorney with experience representing clients in various commercial, energy, and real estate transactions. She regularly assists clients with corporate formation and governance matters as well as all types of commercial real estate transactions, including the acquisition and disposition of real estate assets. Roxana has significant experience assisting energy industry clients in navigating the regulatory landscape in Mexico as a result of the country's landmark energy reform. She interfaces regularly with various regulatory authorities on behalf of clients, including with the National Hydrocarbons Commission (CNH), the Energy Regulatory Commission (CRE), the Ministry of Energy (SENER), the Mexican Petroleum Fund, and others. She has assisted clients in the upstream, midstream, and downstream segments of the energy industry with public bidding processes as well as in regular day-to-day and run-the-company commercial transactions.

Experience

  • Provided assistance to international oil and gas companies in connection with participation and awards in biddings before the National Hydrocarbons Commission for the exploration and extraction of hydrocarbons in shallow and deep waters for CNH-R01-L01/2014, CNH-R01-L02/2015, CNH-R01-L04/2015, CNH-R02-L01/2015, and CNH-A1-Trion/2016
  • Provide assistance with day-to-day commercial agreements, including with regard to supply, marketing, and the establishment of Mexico operations for oil and gas companies
  • Represented Blackstone in its USD$3.3 billion purchase of the Mexican real estate portfolio of GE Real Estate (recognized in Latin Lawyer as Corporate Finance 2015 Deal of the Year)
  • Representation in connection with a loan assignment of major hotel projects in several of the country’s most renowned beach resorts valued at approximately US$173 million
  • Assistance with incorporation of all types of international companies’ establishment in Mexico
  • Assistance with trademarks registration before the Mexican Institute of Industrial Property
  • Assessment in companies’ registration before the Regulatory Energy Commission
  • Assessment to national and international clients in the corporate operation of their business, including incorporation, mergers and acquisitions, dissolution and liquidation, and in the preparation of day-to-day corporate instruments such as board minutes, charter and bylaws, books, issuance of stock certificates, and granting powers of attorney
  • Advising clients in their contractual relations, including the review and drafting of different types of contracts in English and Spanish
