Overview
Thompson & Knight offers unique unconventional oil and gas experience. We closed the transaction that first put shale plays on the map – a $2.7 billion acquisition – and we have represented both foreign and domestic parties in every major shale play in the United States. We represent clients in unconventional oil and gas-related exploration agreements, joint ventures, M&A, and midstream transactions. Additionally, our attorneys assist with the financing, tax, and environmental aspects of unconventional oil and gas-related transactions as well as handle just about every kind of dispute that can arise in a shale play.
Thompson & Knight maintains an “active energy and natural resources department with recognized expertise in the oil and gas sector.” – Chambers Global 2018
The Firm’s unconventional oil and gas representation includes advising mineral-owner clients leasing mineral shale properties as well as in advising oil company clients in acquiring oil and gas leases, in related exploration and participation agreements, and in the sale and divestiture of large leasehold acreage and producing property assets. Our vast industry knowledge and extensive client roster are also highly important because we also represent the significant institutions that finance and invest in these deals. Additionally, our strong tax and oil and gas land law practices are major attractions for clients looking to buy or sell oil and gas properties, companies, or investments.
In addition, attorneys from the Firm’s Oil and Gas, International Energy, and Environmental Practice Groups routinely work as a team on unconventional oil and gas-related transactions – in conducting due diligence and analyzing complicated land issues and environmental issues, including hydraulic fracturing operations. Our attorneys deal with all of the environmental and regulatory due diligence issues of project financing, mergers and acquisitions of energy companies, and other energy transactions, and have substantial experience in soil and groundwater contamination lawsuits involving storage of petroleum products. Proactive counseling to assess environmental risks and ensure regulatory compliance is a major part of our energy industry environmental work, including unconventional oil and gas matters.
